Structure the Tax Side Before You Close

Acquistion Tax Strategy & Planning

The purchase price is only one part of the economics of an acquisition. How the transaction is structured can affect your deductions, cash flow, tax liability, asset basis, and financing for years after closing.

  • Acquisition Structure – evaluate the proposed entity and transaction structure from the buyer's tax perspective.

  • Acquisition Financing – analyze acquisition debt, seller financing, shareholder funding, pledged-asset financing, and related debt/equity considerations.

  • Purchase Price Allocation – develop a defensible allocation among vehicles, equipment, contractual rights, goodwill, and other acquired assets and coordinate the tax treatment with IRS Form 8594.

  • Depreciation & Amortization – evaluate applicable Section 179, bonus depreciation, MACRS, and Section 197 intangible amortization.

  • First-Year Tax Planning – estimate acquisition-year deductions and develop an initial tax strategy for the new operation.
